By accessing or using 404Studios™ website (404studios.in) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
About 404Studios
404Studios is an automation agency based in India, providing:
Business Automation: Order fulfillment automation, conversational commerce (WhatsApp chatbots, AI voice agents), and custom workflow automation
Marketing & Content Creation: Creative campaigns, influencer storytelling, and performance marketing through our partner network (YoungBloods and Santhosh Media Works)
Partnership Models: Managed Partnership (ongoing optimization) or Ownership Model (full handover)
Important: We are technology service providers, not financial advisors, business consultants, accountants, or legal counsel. We provide automation solutions, not business advice.
All collected data is stored securely and used solely for enhancing your experience with our website and services. We do not knowingly collect personal data from minors without parental consent. Your privacy matters to us, and we are transparent about what information we collect and why.

Business Automation Services
We automate business operations including order processing and fulfillment workflows, inventory synchronization and management, customer communication via WhatsApp, voice AI, and other channels, payment and shipping integrations, and custom workflow development.
Marketing & Content Services
Through our partner network, we provide creative campaign development, influencer-led storytelling, performance marketing and social ads, and content creation for growth.
Partnership Models
Managed Partnership means we build, monitor, and continuously optimize your automation with ongoing support, monthly reviews, and proactive improvements in a long-term partnership approach.
Ownership Model means we build, document, and hand over complete system ownership with full admin access and documentation transfer for self-management with optional on-demand suppor
Your Obligations
By engaging our services, you agree to provide accurate information about your business, processes, and requirements. You must grant necessary access to systems, platforms, and credentials in a timely manner. You will respond to requests for feedback, approvals, and clarifications promptly and review deliverables within agreed timeframes. You are responsible for maintaining confidentiality of access credentials and system security, using services only for lawful business purposes, paying invoices according to agreed payment terms, and complying with all applicable laws and regulations.
Our Obligations
We agree to deliver services as specified in signed proposals or service agreements. We will maintain confidentiality of your business data and proprietary information, use industry-standard security practices to protect your data, communicate project progress, issues, and changes promptly, provide support as outlined in your partnership model, and transfer full ownership of custom-built solutions as agreed.
Intellectual Property & Ownership
What You Own
For custom work delivered to you, you receive custom workflows and automation solutions built specifically for your business, configuration and integrations unique to your operations, documentation and training materials provided, and full admin access to systems and platforms.
What We Retain
404Studios retains pre-existing code, templates, and methodologies. We have the right to create similar solutions for other clients using our general knowledge and experience. We retain reusable components and frameworks (non-client-specific) and our proprietary processes and intellectual property.
Third-Party Components
Some solutions use third-party platforms and open-source software (Shopify, n8n, WhatsApp Business API, etc.). These are subject to their respective licenses and terms. You are responsible for compliance with third-party terms, and we make no warranties regarding third-party service availability.
Results Disclaimer & Limitations
No Guarantees
404Studios does NOT guarantee specific financial outcomes, revenue increases, or cost savings. We do not guarantee exact time savings or efficiency improvements, business growth, customer acquisition, or sales results, return on investment (ROI) or specific business metrics, conversion rate improvements, or marketing performance.
What We Provide
We provide automation technology and marketing services designed to streamline manual business processes, enable 24/7 automated operations, integrate multiple business systems, and create marketing campaigns and content. Whether these capabilities translate to specific business results depends on many factors beyond our control.
Factors Affecting Your Results
Your outcomes depend on the quality and market demand for your products/services, your sales and marketing efforts, proper implementation and use of automation systems, team adoption and adherence to new processes, market conditions and competition, accuracy of data and information you provide, third-party platform reliability (Shopify, payment gateways, etc.), and external economic and industry factors.

Any client results, case studies, or testimonials shared represent specific client experiences under specific circumstances. These are not typical or average results and may not be replicated by other businesses. They are provided with explicit client permission. Your results will vary and may be better or worse.
Limitation of Liability
What We Are NOT Liable For
404Studios shall not be liable for business outcomes, revenue changes, or financial results. We are not responsible for decisions you make based on automation data or recommendations, losses from system downtime beyond our reasonable control, third-party service failures (Shopify, WhatsApp API, payment gateways, shipping providers, etc.), data loss due to your failure to maintain backups or follow security procedures, issues caused by unauthorized modifications to systems, force majeure events (natural disasters, pandemics, government actions, internet outages), or indirect, consequential, special, incidental, or punitive damages.
Maximum Liability Cap
Our total liability to you is limited to the amount you paid for our services in the preceding 3 months. This limitation applies regardless of the legal theory (contract, negligence, strict liability, or otherwise)
Third-Party Services & Integrations
Our automation solutions integrate with third-party platforms and services such as Shopify, Razorpay, Shiprocket, WhatsApp Business API, Meta Cloud API, and Telnyx, AI Sensy. You acknowledge that you are responsible for separate agreements with third-party providers and must comply with their terms of service and policies. You are responsible for their fees and charges. We make no guarantees about third-party service availability, functionality, or pricing and are not liable for third-party service failures or changes.
Confidentiality
Our Commitment
We will keep confidential your business strategies, plans, and proprietary information, customer data and analytics we handle during service delivery, financial information and business metrics, and trade secrets and confidential processes. This applies during our relationship and for 3 years after.
Exceptions include information that is required by law or court order to disclose, already publicly available, independently developed without use of your confidential information, or rightfully received from a third party.
Your Commitment
You agree to keep confidential our pricing information (except your own), proprietary methodologies and processes we share, pre-release features or services, and information about other clients.
Payment Terms
Payment terms are specified in proposals, service agreements, or invoices. All prices are in Indian Rupees (₹ INR) unless otherwise stated. GST (18%) applies to all services as per Indian tax law. Payment is due within the timeframe specified on each invoice. Late payments may incur fees and service suspension.
For international clients, all prices are quoted in INR unless otherwise agreed. Currency conversions are at prevailing rates, and bank fees and wire transfer charges are the client's responsibility.
Cancellation & Refunds
Cancellation and refund terms are detailed in our separate Refund & Cancellation Policy. Key points include that refund eligibility depends on project phase and partnership model, cancellation requires written notice, you retain all deliverables paid for, and specific terms vary by service type. Term & Termination
Duration
For the Ownership Model, services are provided for the agreed project duration (typically 12 weeks). For Managed Partnership, services are ongoing with month-to-month renewal after initial commitment period.
Termination by You
You may terminate by providing written notice as specified in your service agreement and following refund and cancellation policy terms.
Termination by Us
We may terminate services if you breach these Terms of Service, fail to pay invoices after reasonable notice, use services for illegal or prohibited purposes, or engage in abusive behavior toward our team
Effect of Termination
Upon termination, you retain all deliverables and documentation paid for and keep admin access to platforms and systems. Ongoing support and optimization services cease, and outstanding invoices remain due and payable.
Prohibited Uses
You may NOT use our services to violate any laws or regulations, sell prohibited or controlled items without proper licenses, engage in fraud, money laundering, or illegal transactions, infringe intellectual property rights, violate privacy or data protection laws, promote violence, hate speech, discrimination, or harassment, distribute adult or explicit content inappropriately, engage in misleading or deceptive business practices, send spam or unsolicited communications, resell our services without written authorization, use our methods to build a competing automation agency, share access credentials with unauthorized parties, or reverse engineer our proprietary systems.
Changes to Terms
We may update these Terms of Service from time to time. Material changes will be communicated via email to active clients (30 days advance notice) and posted on our website with updated effective date. Continued use of our services after changes take effect constitutes acceptance of the new terms.
Governing Law & Dispute Resolution
Governing Law
These Terms are governed by the laws of India. Any disputes will be resolved in accordance with Indian law.
Jurisdiction
Any legal disputes shall be subject to the exclusive jurisdiction of courts in India.
Dispute Resolution Process
Before initiating legal action, contact us at 404studios.in@gmail.com to attempt resolution. Allow 14 business days for good-faith negotiation. Consider mediation if informal resolution fails.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary. The remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with any service agreements, proposals, and our Privacy Policy, constitute the entire agreement between you and 404Studios regarding our services.
